BUSINESS AGREEMENT

This Business Agreement ("Agreement") is entered into by and between:

Solar Switch UK, a company incorporated and existing under the laws of the United Kingdom AND Your Company ("Your Company" or "Recipient")., a company incorporated and existing under the laws of the United Kingdom.

This Agreement is effective immediately and governs the referral and payment terms for the referral of customers interested in solar panels and other renewable energy products.

1. PURPOSE

​

The purpose of this Agreement is to establish the terms and conditions under which Solar Switch UK will refer potential customers ("Referrals") to Your Company for the purchase of solar panels and other renewable energy products. In exchange for such referrals, Solar Switch UK shall be entitled to payment as detailed in this Agreement.

2. REFERRAL PROCESS

2.1 Referral of Customers:

Solar Switch UK will refer potential customers to Your Company for the purchase of solar panels and other renewable energy products.

​

2.2 Referral Confirmation:

Once a referral has been made, Your Company shall provide the customer with an estimate or quotation for the requested products and services using OpenSolar software. The details provided to the customer will be based on the results generated by OpenSolar, a third-party software platform. You should closely replicate the design we have created for the customer.

2.3 No obligation to accept customer:

Your Company has the right to refuse any referrals, without reason.

2.4 No Guarantee of Customer Purchase:

Your company acknowledges that the referral does not guarantee a purchase from the customer. Solar Switch UK shall not be held liable for any customer decision to decline or cancel the purchase.

3. PAYMENT TERMS

​

3.1 Referral Fee:

Your Company agrees to pay Solar Switch UK a referral fee ("Referral Fee") for each successful customer referral. The specific amount of the Referral Fee shall be agreed upon in writing between the parties prior to the referral of any customer.

3.2 Timing of Payment:

Your Company will pay Solar Switch UK the Referral Fee within 5 (five) working days of the customer making the deposit payment to Your Company for the agreed solar panels or renewable energy products.

3.3 Method of Payment:

The Referral Fee will be paid by Your Company to Solar Switch UK via [e.g., bank transfer, debit, etc.]. Both parties shall provide all necessary details for the payment.

4. DISCLAIMERS AND LIMITATIONS

​

4.1 Use of OpenSolar Software:

The estimates and quotations provided by Your Company to the customer are generated through OpenSolar software. Solar Switch UK is not responsible for any discrepancies, inaccuracies, or variations in the results provided by the software or any misrepresentation that may arise from the use of OpenSolar. Solar Switch UK will make reasonable efforts to ensure accuracy, but cannot guarantee that the results will meet the customer's expectations or requirements.

4.2 No Liability for Customer Issues:

Solar Switch UK shall not be liable for any issues, complaints, or disputes arising between Your Company and the customer regarding the solar panel installation or other renewable energy products. Your Company agrees to handle any customer concerns directly and will hold Solar Switch UK harmless for any issues that arise post-referral.

5. CONFIDENTIALITY

​

Both parties agree to keep all confidential information received during the course of this Agreement confidential and not to disclose such information to third parties without prior written consent from the other party, unless required by law.

6. TERM AND TERMINATION

​

6.1 Term:

This Agreement shall commence on the Effective Date and continue indefinitely unless terminated in accordance with Section 6.2.

​

6.2 Termination:

Either party may terminate this Agreement by providing written notice to the other party. Upon termination, any unpaid Referral Fees shall remain due and payable according to the terms of this Agreement.

 

7. GOVERNING LAW AND DISPUTE RESOLUTION

​

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any dispute arising out of or in connection with this Agreement shall be resolved through negotiation. If the dispute cannot be resolved amicably, the dispute will be submitted to the exclusive jurisdiction of the courts in the United Kingdom.

8. ENTIRE AGREEMENT

​

This Agreement constitutes the entire understanding between Solar Switch UK and Your Company and supersedes all prior agreements, whether written or oral, related to the subject matter of this Agreement. Any amendments to this Agreement must be made in writing and signed by both parties.
